These Terms of Service ("Terms") govern your use of CVPRO, an AI-Powered Hiring Intelligence Platform developed and operated by Talpro India Pvt Ltd ("Company," "we," "us," or "our"), a private limited company registered in Hyderabad, Telangana, India.

By accessing, registering with, or using the CVPRO platform, website, or services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. These Terms are applicable to all users, including but not limited to staffing agencies, recruiters, HR professionals, and any other individuals or organizations accessing the Service.

1. Agreement to Terms

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accessing the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. Your continued use of the Service constitutes your acceptance of any modifications to these Terms that we may make from time to time. We will notify you of significant changes via email or through prominent notice on the Service.

2. Description of Service

CVPRO is an AI-powered platform designed to assist IT staffing agencies in evaluating candidate profiles, conducting initial screening, and generating intelligent hiring insights. The Service includes:

3. User Accounts and Registration

To access certain features of the Service, you must create an account and provide accurate, complete, and current information about yourself. You agree to:

CVPRO's AI-powered evaluation and screening features are designed to assist and support human decision-making, not to replace it. Important limitations and disclaimers:

• •No Guarantee of Accuracy: AI models may produce errors, biases, or inaccurate assessments
• •Bias Awareness: While we work to minimize bias, AI systems may reflect biases in training data
• •Human Review Required: All AI recommendations must be reviewed and verified by qualified humans
• •Compliance Responsibility: Users are responsible for ensuring compliance with employment laws and anti-discrimination regulations
• •Data Quality: Output quality depends on the quality and completeness of input data

You acknowledge and agree that you will not rely solely on AI recommendations for hiring decisions and will always conduct appropriate human review and due diligence.

6. Intellectual Property Rights

The Service, including all software, code, design, graphics, text, and other content (except user-generated content), is owned by or licensed to Talpro India Pvt Ltd and is protected by Indian copyright law and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You may not:

• •Create derivative works based on the Service
• •Attempt to reverse engineer or extract trade secrets
• •Use the Service or its content for commercial purposes without authorization

The CVPRO name, logo, and all related marks are trademarks of Talpro India Pvt Ltd.

7. Payment Terms and Pricing Tiers

CVPRO offers multiple pricing tiers to accommodate different user needs:

Billing Terms: Paid plans are billed monthly in advance. Your subscription will automatically renew on the same day each month unless you cancel before the renewal date. All prices are in Indian Rupees (INR) and are exclusive of applicable Goods and Services Tax (GST).

Payment Processing: Payments are processed securely through authorized payment gateways. We accept major credit cards, debit cards, bank transfers, and other methods as displayed during checkout. Refunds, if applicable, will be processed within 7-10 business days after the refund request is approved.

Cancellation: You may cancel your subscription at any time by accessing your account settings or contacting our support team. Cancellation takes effect at the end of your current billing cycle. No refunds will be issued for partial months of service.

Price Changes: We reserve the right to modify pricing with thirty (30) days' written notice. Continued use of the Service after price changes constitutes acceptance of new pricing.

8. Data Ownership and Usage

User Data Ownership: You retain all ownership rights to data you upload, generate, or store in the Service ("User Data"), including candidate profiles, resumes, evaluations, and related information.

Our Rights: We are granted a non-exclusive, worldwide license to use User Data solely to:

• •Develop AI models and machine learning capabilities (using anonymized and aggregated data)
• •Generate analytics and insights for our product improvement
• •Comply with legal obligations and law enforcement requests

We will not sell or commercially exploit your User Data without explicit consent. You are responsible for ensuring that you have all necessary rights and consents to upload candidate data to the Service and that such use complies with privacy laws, the Information Technology Act 2000, and applicable employment regulations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, IN NO EVENT SHALL TALPRO INDIA PVT LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• •Any indirect, incidental, special, consequential, or punitive damages
• •Loss of profits, revenue, data, or business opportunity
• •Errors or inaccuracies in AI evaluations or recommendations
• •Service interruption, downtime, or unavailability
• •Unauthorized access to or loss of User Data

EXCEPT IN CASES OF GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO TALPRO INDIA PVT LTD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR INR 10,000, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Talpro India Pvt Ltd, its directors, officers, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• •Your use of the Service in violation of these Terms
• •Your User Data and its accuracy or legality
• •Hiring decisions made based on our AI recommendations without proper human review
• •Your violation of any applicable laws, including employment and discrimination laws
• •Third-party claims regarding your use of the Service

11. Termination

Termination by You: You may terminate your account at any time by contacting our support team at legal@cvpro.in or through your account settings. Termination is effective immediately upon submission of your request.

Termination by Us: We may suspend or terminate your account immediately without notice if:

• •You violate these Terms or any applicable law
• •You engage in fraud, illegal activity, or misuse of the Service
• •You fail to pay subscription fees
• •We determine that your use poses a risk to the Service or other users

Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may, at our discretion, delete your User Data after a reasonable period (typically 30 days). You remain responsible for any outstanding fees and any breaches of these Terms.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act 2000 and the Indian Contract Act 1872, without regard to its conflict of law principles. The exclusive jurisdiction for any disputes arising out of or relating to these Terms shall be the courts of Hyderabad, Telangana, India.

Both parties consent to the exclusive jurisdiction and venue of the courts located in Hyderabad, Telangana, and waive any objections to venue or inconvenient forum.

13. Dispute Resolution

Informal Resolution: Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good faith negotiation. You must first contact us at legal@cvpro.in with a detailed description of the dispute.

Arbitration: If negotiation fails, disputes may be resolved through arbitration under the Arbitration and Conciliation Act 1996. A single arbitrator shall be appointed by mutual agreement or, failing agreement, as per the rules of the Indian Arbitration Council. The arbitration shall be conducted in English in Hyderabad, Telangana.

Legal Action: Notwithstanding the above, either party may seek interim relief or injunctive remedies from competent courts before initiating arbitration.

15. Miscellaneous Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Talpro India Pvt Ltd regarding the Service and supersede all prior negotiations, understandings, and agreements.

Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, or if not possible, severed, and the remaining provisions shall continue in full force and effect.

Waiver: The failure of Talpro India Pvt Ltd to enforce any right or provision shall not constitute a waiver of such right or provision unless acknowledged in writing by an authorized representative.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Talpro India Pvt Ltd may assign these Terms to any successor or affiliate.

Notices: We may provide notice to you via email to your registered email address or by posting notice on the Service. You may provide notice by emailing legal@cvpro.in.

No Third-Party Beneficiaries: These Terms are for the benefit of you and Talpro India Pvt Ltd only and create no rights for any third party.
